Why Your Registered Agent Matters

According to the Colorado Secretary of State’s website, “Most entities on record with the Secretary of State must maintain a registered agent.” But what is a registered agent and why is it important to choose this individual carefully? The registered agent serves as the business’ representative in Colorado and they are responsible for accepting service of process to “the entity” (i.e. the business). Service of process is the “procedure by which a party to a lawsuit gives an appropriate notice of initial legal action to another party…”

The registered agent must be trustworthy and responsible, as there can be serious legal consequences to not responding to a service of process. If the individual designated as your registered agent needs to change you will, per the Secretary of State’s website, need to file a Statement of Change. It’s also worth noting that the registered agent must have a Colorado mailing address and be at least 18 years old.
